(Payout, Payroll & Vendor Payment Services)

These Terms and Conditions (“Terms”) govern the use of payout, payroll, and vendor payment services (“Services”) provided by Flonix (“Company”, “we”, “us”, or “our”). By accessing or using our Services, you (“User”, “Client”, or “you”) agree to be bound by these Terms.


1. Scope of Services

Flonix provides payment facilitation services including but not limited to:

  • Payroll processing

  • Vendor and contractor payouts

  • Fund disbursement via IMPS, NEFT, RTGS, and UPI

  • Wallet-based fund management (where applicable)

  • Settlement and reconciliation services

  • API-based payment and settlement solutions

Flonix acts as a technology service provider and does not function as a bank or financial institution.


2. Regulatory Compliance

The Services are operated in accordance with applicable Indian laws and regulations, including but not limited to:

  • Reserve Bank of India (RBI) guidelines

  • Prevention of Money Laundering Act, 2002 (PMLA)

  • Information Technology Act, 2000

  • Applicable KYC / AML / CFT norms

Users must comply with all applicable laws while using the Services.


3. Eligibility

To use the Services, you must:

  • Be a legally registered entity or individual permitted to conduct business in India

  • Complete onboarding and verification requirements

  • Use the Services only for lawful purposes

Flonix reserves the right to deny or suspend access at its discretion.


4. Account Registration & KYC
4.1 Registration

Users must create an account and provide accurate, complete, and up-to-date information.

4.2 KYC & Due Diligence

In compliance with RBI and PMLA requirements, Users must complete KYC verification, including submission of:

  • Business registration documents

  • PAN, Aadhaar (where applicable)

  • Authorized signatory details

  • Bank account details (whitelisted accounts)

Flonix may request additional documentation at any time.


5. Whitelisted Bank Accounts
  • Funds may only be loaded from verified and whitelisted bank accounts

  • Changes to bank details require re-verification

  • Users are responsible for ensuring account accuracy


6. Fund Loading & Wallet Usage
  • Funds loaded into the Flonix wallet are used solely for payouts and settlements

  • Wallet balances do not earn interest

  • Flonix does not guarantee uninterrupted wallet availability


7. Payment Processing
  • Payments are processed using RBI-approved payment systems (IMPS, NEFT, RTGS, UPI)

  • Processing times may vary depending on banks, network availability, and regulatory checks

  • Flonix is not responsible for delays caused by banking partners or external systems


8. Payroll & Vendor Payments
  • Users are responsible for accuracy of beneficiary details

  • Flonix does not verify employment, vendor relationships, or contractual obligations

  • Incorrect details may result in failed or delayed payments


9. AML, PMLA & Monitoring

In accordance with PMLA, 2002:

  • Transactions may be monitored and reported to authorities if deemed suspicious

  • Flonix may freeze or suspend accounts under regulatory obligations

  • Users agree to cooperate with investigations or compliance checks


10. Fees & Pricing
  • Fees are disclosed transparently on the platform or via agreement

  • All fees are exclusive of applicable taxes unless stated otherwise

  • Flonix reserves the right to revise pricing with prior notice


11. User Obligations

Users agree to:

  • Use the Services only for lawful purposes

  • Not engage in fraud, money laundering, or prohibited activities

  • Maintain confidentiality of login credentials

  • Immediately notify Flonix of unauthorized access


12. Prohibited Activities

The Services must not be used for:

  • Money laundering or terrorist financing

  • Gambling, betting, or illegal trading

  • Shell companies or fictitious transactions

  • Any activity prohibited by RBI or Indian law


13. Data Protection & Privacy

User data is handled in accordance with applicable data protection laws and Flonix’s Privacy Policy. Users consent to data processing for compliance, security, and service delivery.


14. Suspension & Termination

Flonix may suspend or terminate access if:

  • Regulatory requirements demand it

  • False or misleading information is provided

  • Suspicious or unlawful activity is detected

  • These Terms are violated


15. Limitation of Liability

To the maximum extent permitted by law:

  • Flonix shall not be liable for indirect, incidental, or consequential damages

  • Liability shall not exceed fees paid for the Services in the preceding period


16. Indemnification

Users agree to indemnify and hold Flonix harmless against claims arising from:

  • Violation of laws or regulations

  • Incorrect payment instructions

  • Misuse of Services


17. Force Majeure

Flonix shall not be liable for failure or delay due to events beyond reasonable control, including system outages, regulatory actions, or natural disasters.


18. Amendments

Flonix reserves the right to modify these Terms at any time. Continued use of the Services constitutes acceptance of updated Terms.


19. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Courts located in [Insert City, India] shall have exclusive jurisdiction.
